I can at least understand and sympathize with changing your mind—people are only human—but I really can’t understand why you’d ask for a safe or neutral way to phrase it.

I think you should simply tell him how you feel right away.
I’m sure he also knows that you’re someone whose feelings can waver. If you explain that, he’ll probably accept it without making a fuss.
That said, the fact that he wants to spend New Year’s with you suggests he’s quite taken with you, and he may even have made preparations.
I think it’s fine to turn him down, but if you spend the time together, your feelings might change again.
I’d just ask that you not cancel at the last minute by claiming to be ill or something—it would be pretty harsh.
